Please read these Terms of Use carefully. By accessing or using the Site, including by viewing content, submitting information, registering an account, subscribing to communications, or making a contribution, you accept and agree to be bound by these Terms of Use and our Privacy Policy (together, the “Terms”).

I. Governing Terms
These Terms, together with any supplemental terms, rules, or policies posted on the Site for particular features or Services, and AAEF’s Privacy Policy, constitute the complete terms and conditions governing your use of the Site. If you do not agree to these Terms, you must not access or use the Site.
II. Eligibility and Geographic Scope
The Site is offered and available to users who are 18 years of age or older and located in the United States or any of its territories or possessions, unless AAEF expressly states otherwise for a specific feature. If you access the Site from outside the United States, you do so at your own initiative and are responsible for compliance with all local laws, rules, and regulations.
III. Organizational Status and Tax Treatment of Contributions
AAEF is a tax-exempt organization described in Section 501(c)(3) of the Internal Revenue Code and is incorporated in the District of Columbia. Contributions to AAEF may be deductible as charitable contributions for federal income tax purposes, subject to applicable law and substantiation requirements. AAEF does not provide tax advice. You are solely responsible for determining the tax consequences of any payment or contribution and for consulting your own tax advisers. AAEF may issue donation acknowledgments consistent with applicable substantiation rules and internal compliance protocols. AAEF reserves the right, in its discretion and to the extent permitted by law, to decline, restrict, or refund contributions and to implement reasonable verification and compliance controls for contributions processed through the Site.
IV. Account Registration; Membership; Communications Consent
AAEF may permit certain users to create accounts or subscribe to communications. By providing your email address, telephone number, or other contact information, you consent to receive communications from AAEF in accordance with applicable law and your stated preferences, including programmatic, educational, and mission-related communications where lawful. You may opt out of certain communications by following the unsubscribe instructions provided or by contacting AAEF using the contact information listed in Section XXVIII.
AAEF may, in its sole discretion, designate certain account holders as “members,” “supporters,” or similar classifications for internal organizational purposes. Any such designation does not create equity, ownership, fiduciary status, agency, employment status, governance rights, or voting rights, unless expressly set forth in a separate written instrument executed by AAEF.
V. Limited License; Reservation of Rights
Subject to your ongoing compliance with these Terms, AAEF grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited license to access and use the Site for your personal, non-commercial use. All rights not expressly granted are reserved by AAEF. No implied licenses are granted.
VI. Modifications to Terms and the Site
AAEF may revise these Terms at any time in its sole discretion. Changes are effective immediately upon posting and apply to all subsequent access and use. Your continued use of the Site after posting constitutes acceptance of the revised Terms. AAEF may update, modify, suspend, withdraw, or discontinue the Site or any content, feature, or Service at any time without notice. AAEF has no obligation to update any content and makes no representation that content is complete, current, or error-free.

Attempt to gain unauthorized access to the Site, servers, databases, or connected systems.
Reverse engineer, decompile, disassemble, or attempt to derive source code from any portion of the Site.
Attack the Site via denial-of-service or distributed denial-of-service attacks.
Use the Site for commercial purposes, competitive intelligence, or to compete with AAEF.

AAEF may take any measures it deems appropriate to prevent, detect, investigate, or enforce violations, including suspension or termination of access, and cooperation with law enforcement.
IX. Ownership of Site Content; Intellectual Property
The Site and all content, features, functionality, and materials (including text, graphics, logos, images, audio, video, and software) are owned by AAEF or its licensors and are protected by U.S. and international intellectual property laws (“AAEF Property”). You may not copy, reproduce, distribute, modify, create derivative works, publicly display, publicly perform, republish, download, store, transmit, sell, lease, license, or exploit AAEF Property without AAEF’s prior written consent, except as expressly permitted by these Terms.
X. User Submissions; License Grant
If you submit, upload, post, transmit, or otherwise provide content to AAEF or through the Site (“Your Materials”), you represent and warrant that:
You own or have all necessary rights to provide Your Materials.
Your Materials do not violate any law or third-party rights.
Your Materials do not contain confidential information that you are not authorized to disclose.
You grant AAEF an irrevocable, perpetual, worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly display, publicly perform, create derivative works from, and otherwise exploit Your Materials in any media now known or later developed, for any lawful organizational purpose. To the fullest extent permitted by law, you waive any moral rights you may have in Your Materials.
XI. Interactive Areas; User-Generated Content
The Site may include comment areas, forms, forums, or other interactive features (“Interactive Areas”). You use Interactive Areas at your own risk. AAEF has no obligation to host, display, or maintain any user-generated content. AAEF may remove, edit, refuse to post, or disable access to any user-generated content at any time in its sole discretion.
XII. Monitoring and Enforcement
AAEF may monitor activity and content on the Site for compliance, security, and operational purposes. AAEF’s decision to monitor, moderate, or remove content does not create a duty to do so and does not render AAEF responsible for user content.
XIII. Social Media; Third-Party Platforms
The Site may link to or reference AAEF social media channels or third-party platforms. Your use of third-party platforms is governed by the terms and policies of those platforms. AAEF does not control third-party platforms and disclaims responsibility for their practices.
XIV. Links to Third-Party Sites; No Endorsement
The Site may contain links to third-party websites for convenience. AAEF does not endorse and is not responsible for third-party content, accuracy, availability, security, or privacy practices. Any reliance on third-party content is at your own risk.
XV. Donations, Payments, and Payment Processors
If the Site permits contributions or payments, you agree that:
All payments are subject to AAEF’s acceptance and may be declined or refunded in AAEF’s discretion, to the extent permitted by law and consistent with internal compliance protocols.
Payments may be processed by third-party payment processors subject to their terms and privacy practices.
AAEF is not responsible for errors attributable to third-party processors, networks, or financial institutions.
Tax treatment is addressed in Section III.
XVI. Charitable Solicitation and Jurisdictional Disclosures
AAEF may engage in charitable fundraising communications where lawful. The Site is generally available to the public and may be accessed through organic browsing, searches, referrals, or other general availability mechanisms.
No provision of these Terms is intended to, nor shall it be construed to, waive or negate any non-waivable statutory requirement under applicable charitable solicitation, consumer protection, or similar laws. Where a jurisdiction requires registration, notice, or filing before certain solicitations may occur, AAEF will take commercially reasonable steps to comply as applicable.
To the extent permitted by law:
Your access to the Site does not, by itself, create an inference that AAEF has targeted, directed, or initiated a solicitation in your specific jurisdiction.
You are responsible for ensuring that your use of the Site and any decision to make a payment or contribution is lawful in your jurisdiction.
AAEF reserves the right to restrict, block, or decline transactions from any jurisdiction at any time to mitigate compliance risk.
XVII. Confidentiality and Internet Transmissions
Transmission of information via the Internet is inherently insecure. AAEF cannot guarantee confidentiality of information transmitted to or from the Site. You transmit information at your own risk. AAEF disclaims liability for interception, loss, alteration, or unauthorized access occurring outside AAEF’s reasonable control.
XVIII. Disclaimer of Warranties
YOUR USE OF THE SITE, ITS CONTENT, AND SERVICES IS AT YOUR OWN RISK. THE SITE AND ALL CONTENT AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, AAEF DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. AAEF DOES NOT WARRANT THAT THE SITE WILL BE ACCURATE, COMPLETE, RELIABLE, ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
XIX. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AAEF, ITS AFFILIATES, OR ITS AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE UNDER ANY LEGAL THEORY FOR ANY DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR SERVICES, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR PERSONAL INJURY, EVEN IF FORESEEABLE.
Where liability cannot be excluded, AAEF’s liability shall be limited to the minimum extent permitted by law.
XX. Indemnification
You agree to defend, indemnify, and hold harmless AAEF, its affiliates, and its and their directors, officers, employees, agents, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
Your use of the Site or Services,
Your violation of these Terms,
Your violation of any law or third-party rights, or
Your submission of Your Materials.
AAEF reserves the right to assume the exclusive defense and control of any matter subject to indemnification at your expense.
XXI. Limitation on Time to Bring Claims
Any claim or cause of action arising out of or relating to these Terms, the Site, or Services must be commenced within one (1) year after the claim accrues, otherwise it is permanently barred, to the extent permitted by law.
XXII. Dispute Resolution; Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
1. Informal Resolution
Before initiating arbitration or litigation, you agree to attempt informal resolution by sending written notice to info@aaef-usa.org describing the nature of the dispute and the relief sought. If the dispute is not resolved within 15 days of receipt, either party may proceed as set forth below.
2. Agreement to Arbitrate
Except for the carve-outs in Section XXII.4, you and AAEF agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or Services shall be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its applicable rules.
3. Location; Governing Arbitration Law
Unless otherwise required by applicable law, arbitration shall occur in Washington, District of Columbia. These arbitration provisions shall be governed by the Federal Arbitration Act to the fullest extent applicable.
4. Exceptions
Either party may seek injunctive or equitable relief in court to protect intellectual property, confidential information, or to prevent unauthorized access or misuse of the Site, without waiving arbitration for other claims.
5. Class Action Waiver
You and AAEF agree that disputes shall be brought only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of class proceeding.
6. Opt-Out
You may opt out of arbitration by sending written notice to info@aaef-usa.org within 30 days of your first acceptance of these Terms. If you opt out, you and AAEF agree that disputes will be resolved as described in Section XXIII.
XXIII. Governing Law; Venue
If the arbitration agreement is found unenforceable as to a particular claim, you and AAEF agree that any judicial proceeding shall be brought exclusively in the state or federal courts located in Washington, District of Columbia, and you consent to personal jurisdiction and venue there. These Terms shall be governed by the laws of the District of Columbia, without regard to conflict-of-laws rules, except where preempted by federal law.
XXIV. Waiver and Severability
No waiver by AAEF of any term shall be deemed a further or continuing waiver. If any provision is held invalid, illegal, or unenforceable, it shall be limited to the minimum extent necessary and the remaining provisions shall remain in full force and effect.
XXV. Entire Agreement
These Terms, together with the Privacy Policy and any supplemental terms posted on the Site, constitute the entire agreement between you and AAEF regarding the Site and Services and supersede all prior communications and agreements.
XXVI. Assignment
AAEF may assign these Terms at any time, including in connection with restructuring, reorganization, or asset transfer. You may not assign any rights or obligations under these Terms without AAEF’s prior written consent.
